Commercial Contracts
Strong commercial contracts don't just protect you if things go wrong - they prevent misunderstandings from arising in the first place by making the commercial deal clear and complete from the outset.
Contracts that reflect the real deal
A contract should be a clear record of what was agreed - who does what, when, for how much and what happens if things change. Too many businesses operate on handshake agreements, template contracts that don't fit or legacy documents that no longer reflect how the relationship actually works.
We draft, review and negotiate commercial agreements that are commercially clear, legally robust and written in a way that both parties can understand and act on. Our approach is practical - we encourage clients to produce contracts that reflect the actual deal, allocate risk sensibly and avoid unnecessary complexity.

Beyond individual contracts
Template development and standardisation
For businesses that enter into similar types of agreements regularly, we develop template contracts and standard terms that can be used across the business - reducing legal costs, improving consistency and ensuring your team can negotiate from a position of clarity.
Contract playbooks
A contract playbook sets out your standard positions, fallback positions and non-negotiable terms for each type of agreement. It gives your commercial team the confidence to negotiate day-to-day matters without needing legal input on every point - and flags when a matter should be escalated.
Unfair contract terms: Since November 2023, unfair terms in standard form contracts with small businesses and consumers are void and can attract significant penalties under the Australian Consumer Law. If your business uses standard form contracts, they need to be reviewed against the current regime.
Our approach
We don't produce contracts that sit in a drawer. Our goal is to give you agreements that are genuinely useful - that your team can understand, that your counterparties will accept and that protect you where it matters. We work closely with you to understand the commercial context, then produce documents that reflect the business reality rather than just the legal theory.
